Terms of Service

Welcome to Mindful Oregon Clinic ("Clinic," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, patient portal, telehealth services, communications, and administrative services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
If you do not agree with these Terms, please do not use our Services.
1. Scope of Services
Mindful Oregon Clinic provides outpatient mental health services, which may include psychotherapy, counseling, assessment, care coordination, and related administrative and support services. Services may be provided in person or via telehealth, subject to applicable laws and clinical appropriateness.
We do not provide emergency, crisis, or inpatient services. If you are experiencing a mental health emergency, call 911 or your local crisis line immediately.
2. Eligibility and Location
Our Services are available only to individuals who:

Are physically located in the State of Oregon at the time services are rendered (unless otherwise permitted by law), and

Meet clinical eligibility criteria as determined by a licensed clinician.
You are responsible for providing accurate and complete information about your identity, location, and eligibility.
3. No Medical Emergency Services
The Clinic is not an emergency provider. The Services are not intended for:

Emergency mental health care

Crisis intervention
-
Immediate risk of harm to self or others
If you are in crisis, contact emergency services or a crisis hotline immediately.
4. Appointments, Scheduling, and Attendance

Appointments must be scheduled through approved Clinic systems.

You are responsible for attending appointments on time.

Missed appointments or late cancellations may result in fees, as outlined in our Cancellation and No‑Show Policy.

Repeated missed appointments may result in modification or termination of Services.
5. Fees, Insurance, and Payment Responsibility
5.1 Insurance

The Clinic may accept certain insurance plans; acceptance does not guarantee payment.

You are responsible for verifying your insurance benefits, coverage, copays, coinsurance, and deductibles.

Denials or non‑payment by insurance do not eliminate your financial responsibility.
5.2 Self‑Pay
Self‑pay rates are available upon request and must be paid according to Clinic policy.
5.3 Payment Authorization
By using our Services, you authorize the Clinic to charge approved payment methods for amounts due, including copays, coinsurance, deductibles, self‑pay fees, and applicable administrative fees.
6. Telehealth Services
If you participate in telehealth services:

You consent to receive services via secure audio and/or video technology.

You are responsible for ensuring a private, safe environment and reliable internet connection.

Telehealth may be discontinued if clinically inappropriate, technically unfeasible, or legally restricted.
Telehealth involves potential risks, including technical failures or privacy limitations beyond the Clinic’s control.
7. Communications and Electronic Messaging
7.1 Electronic Communications
You consent to receive communications from the Clinic electronically, including via phone calls, voicemail, email, SMS/text messaging, patient portals, or other electronic means.
7.2 Limitations

Electronic communications are not monitored 24/7.

Do not use electronic messaging for emergencies.

Standard messaging rates may apply.
8. Privacy and HIPAA
The Clinic complies with applicable federal and state privacy laws, including HIPAA.
Your protected health information (PHI) is governed by our Notice of Privacy Practices, which is incorporated into these Terms by reference.
9. Client Responsibilities
You agree to:

Provide accurate and complete information

Participate honestly and respectfully in treatment

Follow Clinic policies and clinician recommendations

Maintain appropriate behavior toward clinicians and staff
The Clinic reserves the right to suspend or terminate Services for abusive, threatening, discriminatory, or inappropriate conduct.
10. Clinical Judgment and Treatment Decisions
All treatment decisions are made based on professional clinical judgment, ethical standards, and applicable law.
The Clinic does not guarantee specific outcomes or results from treatment.
11. Intellectual Property
All content provided through the Services, including text, forms, policies, and materials, is owned by or licensed to the Clinic and may not be copied, distributed, or reused without written permission.
12. Termination of Services
Either you or the Clinic may terminate Services at any time.
The Clinic may terminate or limit Services if:

Continued care is no longer clinically appropriate

Policies or Terms are violated

Fees remain unpaid

Required information is not provided
Termination will be handled in a clinically appropriate manner when possible.
13. Limitation of Liability
To the fullest extent permitted by law:

The Clinic is not liable for indirect, incidental, or consequential damages

Liability is limited to the amount paid for Services during the six (6) months preceding any claim
Nothing in these Terms limits liability that cannot be limited under applicable law.
14. Indemnification
You agree to indemnify and hold harmless the Clinic, its owners, clinicians, employees, and contractors from claims arising out of:

Your misuse of the Services

Violation of these Terms

False or inaccurate information you provide
15. Governing Law and Venue
These Terms are governed by the laws of the State of Oregon, without regard to conflict of law principles.
Any legal action must be brought in a court of competent jurisdiction in Oregon.
16. Changes to These Terms
The Clinic may update these Terms from time to time.
Updated Terms will be posted on our website with a revised effective date. Continued use of the Services constitutes acceptance of the updated Terms.
